Effective date: 1 November 2025

1. Who you are agreeing with

This is a contract between you (or the company you represent) and Mithtech Innovative Solutions Private Limited, the operator of the SocialPuff service ("SocialPuff", "we", "us"). Our registered office is at Rajajinagar, Bangalore, Karnataka 560010, India. If you are entering into these terms on behalf of a company, you confirm you have authority to bind that company.

2. Your account

  • You must be at least 18 years old to create a SocialPuff account.
  • You are responsible for the accuracy of the information in your account and for keeping your password confidential.
  • You are responsible for everything that happens under your account — including actions taken by teammates you invite.
  • You must notify us immediately of any unauthorised access.

3. Subscriptions & billing

  • SocialPuff is billed monthly or annually in advance. Prices are shown in INR unless otherwise stated and are exclusive of applicable taxes (GST).
  • Paid plans renew automatically at the end of each billing cycle unless cancelled.
  • You can cancel at any time from your billing settings; cancellation takes effect at the end of the current paid cycle.
  • We may change prices with 30 days' notice. If you do not accept the new price, you can cancel before it takes effect.
  • Overages (for example, exceeding subscriber limits) are billed at the rates shown on the pricing page or in your order form.

4. Refunds

Refunds are governed by our refund policy, which forms part of these terms.

5. Acceptable use

You agree not to use SocialPuff to:

  • Send unsolicited messages or spam — including messages outside the Meta messaging window, outside your email/SMS provider's terms, or to contacts who have not opted in.
  • Violate the terms, policies, or rate limits of third-party platforms (Facebook, Instagram, Twitter/X, LinkedIn, Pinterest, Reddit, email providers, SMS providers, payment gateways).
  • Promote illegal goods or services, or otherwise violate applicable law.
  • Publish content that is defamatory, obscene, or infringes intellectual property or privacy rights.
  • Attempt to scrape, reverse-engineer, or circumvent the service or its rate limits.
  • Upload viruses, malware, or any code intended to harm the service or other users.
  • Impersonate any person or entity, or falsely represent your affiliation with one.

We may suspend or terminate accounts that violate this section, with or without prior notice, depending on severity.

6. Third-party platforms

SocialPuff interoperates with third-party platforms at your instruction. Those platforms have their own terms and policies — for example, Meta's Platform Terms and Developer Policies, your email/SMS provider's anti-abuse policies, and your payment gateway's acceptable use policies. You are responsible for complying with all such terms. SocialPuff is not liable for suspensions, bans, or restrictions imposed by those platforms.

7. Your content and data

  • You retain all rights in the content and data you upload, create, or connect to your workspace.
  • You grant us a limited licence to host, process, and transmit that content as needed to operate the service on your behalf.
  • You represent that you have the right to upload and process the content — including subscriber data, media assets, and any personal data of third parties.

8. Our intellectual property

The SocialPuff software, trademarks, logos, documentation, and website are owned by Mithtech Innovative Solutions Pvt. Ltd. or its licensors. We grant you a non-exclusive, non-transferable right to use SocialPuff during your subscription. All rights not expressly granted are reserved.

9. Beta features

Features labelled "beta", "preview", or "experimental" are provided as-is and may change or be withdrawn at any time. They are not covered by SLAs.

10. Service level

We target 99.9% monthly uptime for the SocialPuff application. Scheduled maintenance windows and third-party outages (Meta, payment gateways, SMS providers) are excluded. Agency plans include a contractual SLA with service credits for qualifying downtime, as documented in your order form.

11. Support

Email and in-app support are available to all paid customers. Response-time targets depend on your plan. Custom support arrangements are available for Agency plans.

12. Suspension & termination

  • We may suspend your account for non-payment, acceptable-use violations, security concerns, or legal requirements.
  • You may cancel your subscription at any time.
  • On termination, we retain workspace data for up to 90 days to support reactivation. After that, data is deleted in accordance with our privacy policy.
  • Sections of these terms that by nature should survive termination (IP, liability, governing law) will survive.

13. Disclaimers

Except as expressly stated, SocialPuff is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any particular result will be achieved by using it.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from or related to the service. Our total liability for any claim arising out of or related to the service is limited to the fees you paid to us for the service in the 12 months preceding the event giving rise to the claim.

15. Indemnification

You will defend, indemnify, and hold SocialPuff harmless against third-party claims arising from (a) your content or data, (b) your violation of these terms, or (c) your violation of any law or third-party rights.

16. Governing law & jurisdiction

These terms are governed by the laws of India. Courts in Bangalore, Karnataka have exclusive jurisdiction over any dispute, subject to applicable laws.

17. Changes to these terms

We may update these terms from time to time. Material changes will be announced via email and in the app. Continued use of the service after the effective date of an update constitutes acceptance.
